School Module Terms

These School Module Terms and Conditions (the “School Module Terms”) govern access to and use of the ShulCloud School Module (the “School Module” or “Application”) by schools, school districts, and other educational institutions (each, a “School”), which is offered by Shulcloud, LLC (“Shulcloud”, “we”, “our”, or “us”).

These School Module Terms form part of, and are incorporated into, the ShulCloud Terms of Use (the “Terms of Use”). Capitalized terms used but not defined herein have the meanings given in the Terms of Use or the School Module Student and Children Privacy Notice (the “Student and Children Privacy Notice”), as applicable. In the event of a conflict between these School Module Terms and the Terms of Use, these School Module Terms control solely with respect to the School Module.

BY ACCESSING OR USING THE SCHOOL MODULE, YOU AGREE THAT YOU HAVE READ AND AGREE TO BE BOUND BY THESE SCHOOL MODULE TERMS. IF YOU DO NOT AGREE TO THESE SCHOOL MODULE TERMS, OR ARE NOT WILLING TO MAKE THE REPRESENTATIONS OR COMMIT TO THE UNDERTAKINGS IN THESE SCHOOL MODULE TERMS, WE ARE NOT WILLING TO PROVIDE YOU WITH ACCESS TO OR USE OF THE SCHOOL MODULE AND YOU MUST NOT ACCESS OR USE THE SCHOOL MODULE.

1. Purpose and Scope of the School Module. The School Module is designed solely to support school administrative, educational, and operational activities as described in the Student and Children Privacy Notice. The School Module is not intended for general commercial use or for purposes unrelated to school operations. ShulCloud provides the School Module to act on behalf of the School in performing functions that the School would otherwise perform for itself, consistent with applicable education privacy laws.
2. Student and Children Privacy Notice. The Student and Children Privacy Notice describes, among other things: (i) the categories of student-related data (including any information about children, “Student Data”) collected, stored, or processed; (ii) the purposes for which Student Data may be used; and (iii) Shulcloud’s data protection and security practices specific to the School Module. ShulCloud will collect, access, use, disclose, retain, and otherwise process Student Data only as expressly described in the Student and Children Privacy Notice, these School Module Terms, and applicable law.
3. Permitted Use and Use Restrictions.
a.Permitted Use. Shulcloud may use Student Data solely for the limited purposes of providing, maintaining, and supporting the School Module, and for no other purpose, except as expressly permitted in the Student and Children Privacy Notice or required by law.
b.Prohibited Uses. Shulcloud will not: (i) use Student Data for advertising, marketing, or commercial profiling; (ii) sell or share Student Data or use Student Data to target advertisements to students or their families; or (iii) use Student Data for any purpose unrelated to the educational or administrative functions to support the School.
4. School Representations. School represents, warrants, and covenants to Shulcloud that:
a. it has authority under applicable law (including the federal Family Educational Rights and Privacy Act (FERPA), the U.S. Children’s Online Privacy Protection Act (COPPA), and state privacy laws concerning Student Data) to disclose Student Data to Shulcloud, either because School has (i) obtained all required consents and authorizations necessary for such disclosure, or (ii) determined that such consent is not required under applicable law.
b. any Student Data provided to ShulCloud by School may lawfully be shared with Shulcloud for the purposes described in the Student and Children Privacy Notice.
c. School will respond to parent or student requests regarding access to or correction of Student Data, with Shulcloud providing reasonable assistance upon request.
d. School will make such disclosures to parents and eligible students (students age 18 or older, or students enrolled in postsecondary education at any age) regarding your relationship with us as required by applicable law.

These representations are continuing and material to Shulcloud’s provision of the School Module.

5. Data Ownership and Control. As between Shulcloud and School, Student Data remains the property of, and under the control of, the School. Shulcloud will process Student Data solely to perform its obligations under these School Module Terms, the Student and Children Privacy Notice, and the Terms of Use. Nothing in these School Module Terms grants Shulcloud any ownership interest in Student Data.
6. Data Security and Confidentiality. Shulcloud will implement and maintain administrative, technical, and physical safeguards designed to protect Student Data against unauthorized access, disclosure, alteration, or destruction, consistent with industry standards and as further described in the Student and Children Privacy Notice. In the event of a data breach or loss involving Student Data, we will comply with breach notification requirements under applicable law, including state privacy laws.

Shulcloud will ensure that access to Student Data is limited to personnel and subprocessors with a legitimate need to know and who are bound by confidentiality obligations.

7. Subprocessors and Disclosure. ShulCloud may utilize subprocessors to support the School Module, provided that any such subprocessors are subject to data protection obligations no less protective than those set forth in these School Module Terms and the Student and Children Privacy Notice. ShulCloud will not disclose Student Data to third parties except as described in the Student and Children Privacy Notice, permitted by law, or authorized by the School.
8. Data Retention and Deletion. ShulCloud will retain, return, or delete Student Data in accordance with the Student and Children Privacy Notice. Without limiting the foregoing, upon termination or expiration of the School’s use of the School Module, and upon the School’s written or electronic notification that a particular student has not been enrolled for the preceding sixty (60) days, ShulCloud will, at the School’s direction and consistent with applicable law, return or delete the Student Data relating to such student within a reasonable period or as prescribed by applicable law including state privacy laws.
9. Privacy Practice Changes. Shulcloud will not materially modify the privacy practices applicable to the School Module or Student Data, as described in the Student and Children Privacy Notice, without providing the School with at least thirty (30) days’ prior written notice. Otherwise, Shulcloud may modify these School Module Terms by posting updated terms to its website or otherwise electronically delivering to you the updated terms.
10. Audits and Compliance. Upon reasonable written request, Shulcloud will provide information reasonably necessary to demonstrate its compliance with these School Module Terms and the Student and Children Privacy Notice, subject to confidentiality and security restrictions.
11. Survival. Sections relating to data protection, confidentiality, data ownership, and limitations on use will survive the termination or expiration of these School Module Terms.
12. Entire Agreement. These School Module Terms, together with the Terms of Use and the Student and Children Student Privacy Notice, constitute the entire agreement between the parties with respect to the School Module and supersede any prior or contemporaneous agreements or understandings relating to the School Module.
